BRUNEI – KOREA ASSOCIATION for FRIENDSHIP

CONSTITUTION

ARTICLE 1    NAME AND ADDRESS a)      This association shall be named as “BRUNEI-KOREA ASSOCIATION for FRIENDSHIP” (in short “B-KAF”). b)      The address of B-KAF shall be as follow: 7th Floor, Setia Kenangan Office Block, Setia Kenangan Complex, Kampung Kiulap Bandar Seri Begawan BE1518 Negara Brunei Darussalam.	ARTICLE VIII   PRESIDENT a)      The President shall represent B-KAF. b)      The President shall be elected at the General Meeting for the duty term of three (3) years and is allowed to be re-elected up to three (3) terms of duty. c)      The President shall lead and manage the activities and projects of B-KAF.
ARTICLE II      AIMS a)      Promotion of friendship and cooperation between the people of Brunei and Korea. b)      Enhancing mutual understanding of the social and cultural life of Brunei and Korea. c)      Fostering tourism, academic and cultural exchanges between Brunei and Korea. d)     Assisting the government departments and other organizations with projects aiming at promotion of relations between Brunei and Korea.	ARTICLE IX        QUORUM a)      Quorum for the General Meeting shall be one quarter (1/4) of the registered members. b)      Quorum for Executive Committee Meeting shall be at least half (1/2) of the Committee members. c)      The General Meeting or Executive Committee Meeting shall be postponed and forwarded to a date determined by the President in case of insufficient quorum. d)     All the decisions at the General Meeting or Executive Committee Meeting shall be done by majority vote from those who are present and voting.
ARTICLE III a)      B-KAF shall be subject to the laws of Negara Brunei Darussalam. b)      B-KAF shall not interfere and be involved in the domestic and foreign political affairs.	ARTICLE X       REGISTRATION AND ANNUAL FEE a)      Registration Fee is B$30. b)      Annual Individual Membership fee is B$30. c)      Annual Ordinary Corporate Membership Fee is B$1,500.
ARTICLE IV      MEMBERSHIP a)      Individual Membership shall be opened to all Citizens of HisMajesty the Sultan of Brunei and residents residing in Brunei. b)      Ordinary Corporate Membership shall be opened to local and international companies registered in Brunei. c)      Founding Corporate Membership shall be opened to organizations which make one time financial contribution equivalent to not less than B$20,000.00 to set up B-KAF.	ARTICLE XI      SOURCE OF FINANCE a)      Registration and membership fee. b)      Donation from sponsors. c)      Contribution from Corporate Members. d)     Aids from the Government. e)      All sources of finance in B-KAF shall be put in a bank account determined by the Executive Committee. f)       Any withdrawals shall be subject to the approvals and signatures of the Treasurer and either the President or the Executive Secretary.
ARTICLE V     DUTIES AND MEMBERSHIP a)      Members shall have the right to cast votes or be voted to compete in the selection of Executive Committee Members and other positions in B-KAF. b)      Members shall participate and cooperate in the implementation and handling of projects and activities of B-KAF. c)      Members shall obey all Articles and regulation of B-KAF.	ARTICLE XII      MEMBERSHIP TERMINATION Membership shall be terminated if members: a)      Violate the Regulations and Articles of B-KAF. b)      Fail to settle the Annual Fee. c)      Tarnish and damage the good name of B-KAF.
ARTICLE VI     GENERAL MEETING a)      Be held once a year with all members of B-KAF open to attend b)      Be held at anytime by the request of the Executive Committee. c)      Elect Executive Committee Members once in three (3) years. d)     Accept/approve reports and annual accounts. e)     Provide guidelines for B-KAF activities. f)      Revise the Articles of B-KAF.	ARTICLE XIII      DISBANDMENT a)      Disbandment, if occurs, shall be decided at the General Meeting by consensus. b)      In case of disbandment, all the properties of B-KAF shall be donated to the Welfare Organizations in Brunei Darussalam.         B-KAF – DATE     14 JULY 2004
ARTICLE VII     EXECUTIVE COMMITTEE a)      Executive Committee members shall be composed of the following: President Deputy President Treasurer Executive Secretary Head of Social and Educational Cooperation Division Head of Economic and Technical Cooperation Division Head of Tourism and Cultural Cooperative Division Honorary Committee members b)      Executive Committee shall be responsible for the planning and implementation of all activities and projects and administration of B-KAF. c)      Executive Committee Meeting shall be held at least twice a year. d)     Executive Committee shall appoint an Honorary Patron.
